Course Overview
This course will provide an overview of the requirements for public disclosure of technical information as well as an understanding of scientific and geological terms in news releases. Participants will follow a mineral exploration project through its life cycle, including targeting, exploration and project development. At each stage of a project’s development, the requirements for technical disclosure will be examined, including what cautionary language needs to be applied in news releases, technical reports and social media. Triggers for the requirements for public technical disclosure, both under securities law and for various Canadian stock exchanges, will be discussed. Examples of poor technical disclosure will be provided to assist in understanding correct and incorrect technical disclosure. This course is aimed at non-geologists who write or vet news releases with technical disclosure, as well as geologists who wish to know more about technical disclosure requirements.

Learning Outcomes
Upon successful completion of this course, the student will be able to:
- Articulate the regulatory environment for mining companies.
- Assess whether a mineral property is at an early stage of exploration or an advanced stage of development.
- Recall the different types of exploration and development techniques for minerals.
- Interpret the meaning of geological and scientific terms mean in a mining news release.
- Recall both securities law and stock exchange triggers for technical disclosure in both news releases and technical reports.
- Identify the role of QP’s in News Releases and Technical Reports.
- Evaluate what ‘materiality’ means when technical information is disclosed.
- Articulate the securities laws that apply to technical disclosure.
- Evaluate what technical disclosure is required and when for various types of mineral properties.
- Analyze cautionary language and use it to interpret technical disclosure.
- Recall applicable correct cautionary language to put in news releases and technical reports.
- Differentiate between the principles of disclosure and the regulations of disclosure.
- Identify prohibited language as well as language which violates the principles of disclosure.
- Discriminate between what is and what isn’t acceptable when disclosing technical information in social media.
- Review news releases as if you were a regulator checking to make sure it’s acceptable.
